Terms of Service — Visiominds

These Terms of Service ("Terms") govern your use of the Visiominds website and any services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding.

1. About Visiominds

Visiominds is a creative agency specializing in brand identity, visual identity, illustration, fashion product design, web design, and brand strategy. We are based in Canada and serve clients locally and internationally.

2. Acceptance of Terms

By visiting our website or submitting a project inquiry, you confirm that you are at least 18 years old, have the legal authority to enter into agreements, and agree to these Terms in full. If you do not agree, please do not use our website or services.

3. Services

Our services include but are not limited to:

Brand Identity Design
Logo Design & Visual Identity Systems
Illustration & Editorial Art
Fashion Product Design & Technical Packs
Web Design & Development
Brand Strategy & Positioning

Specific deliverables, timelines, revisions, and payment terms for each project are agreed upon in a separate project proposal or contract. In the event of any conflict, the signed project agreement takes precedence over these Terms.

4. Project Inquiries & Discovery Calls

Submitting a project inquiry form or booking a discovery call does not constitute a binding agreement to engage our services. A formal project begins only upon execution of a written proposal or contract and receipt of the agreed deposit.

5. Payments & Deposits

All projects require a deposit (typically 50%) before work commences.
The remaining balance is due upon project completion or per the agreed payment schedule.
Invoices unpaid beyond 14 days of the due date may incur a late fee of 5% per month.
Prices are quoted in Canadian Dollars (CAD) or Nigerian Naira (NGN) as specified in the proposal.

6. Intellectual Property

Upon receipt of full and final payment for a project:

Visiominds transfers ownership of the final agreed deliverables to the client.
Visiominds retains the right to display the work in our portfolio, on our website, and on social media for promotional purposes, unless the client requests otherwise in writing.
All preliminary concepts, unused designs, and working files remain the property of Visiominds unless explicitly purchased as part of the project scope.

7. Revisions & Scope

Each project proposal outlines the number of revisions included. Additional revisions beyond the agreed scope will be billed at our standard hourly rate. Significant changes to the project scope after work has commenced may require a revised proposal and additional fees.

8. Client Responsibilities

To ensure successful project delivery, clients agree to:

Provide accurate, complete, and timely information required for the project
Respond to requests for feedback within the agreed timeline
Ensure they have the rights to any content, images, or materials provided to us
Notify us promptly of any changes to project requirements

9. Cancellations & Refunds

Deposits are non-refundable once work has commenced.
If a project is cancelled by the client mid-way, payment is due for all work completed to that point.
If Visiominds is unable to fulfill a project for any reason, a prorated refund will be issued for work not yet completed.

10. Limitation of Liability

Visiominds shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services, including but not limited to loss of revenue, loss of profits, or loss of business, even if we have been advised of the possibility of such damages. Our total liability in any matter arising out of or relating to our services is limited to the total amount paid by the client for the specific project in question.

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project. This obligation survives the termination of any project agreement.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada. Any disputes arising under these Terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration in Ontario.

13. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. Your continued use of our website or services after changes take effect constitutes your acceptance of the revised Terms.
